WMA BOARD DIRECTOR POSITION DESCRIPTION

OVERALL STATEMENT

The WMA Board of Directors is the chief elected/appointed body of the Association. The Board represents the members’ interest in the organization. The Board sets policies of the not-for-profit corporation, coordinates all activities for its membership, and maintains sustainability of the corporation’s assets.

POWER

All power of the Board is a collective power which exists only when Board members act together as one body. Individual Board members have no power except that granted by the full Board through its bylaws, Board policy or by resolution of the full Board.

RESPONSIBILITIES

In general, the Board is responsible for everything in and about the corporation.

Specifically, the Board

  • Plans for the future of WMA
  • Hires an Executive Director to oversee and delegate management of the corporation •
  • Writes policies to set limits and define how the corporation will operate
  • Monitors and evaluates outcomes of the long-range plan, executive performance,
    board policies, financial stability and outcomes of programs and services
  • Acts as an advocate for the corporation and the programs and services

The Board is responsible for determining policy in the following categories:

  • Board recruitment and election of Board members
  • Hiring, terminating, disciplining, evaluating, and holding the Executive Director accountable to carry out appropriate management of programs and services.
  • How the Corporation will be run
  • Ensuring uninterrupted management succession

Planning

  • Establishing/Reviewing the Mission and Vision and goals of the corporation
  • Determining the direction WMA will go in and the strategic plans
  • Determining which programs/services will be provided by WMA
  • Evaluating the services/programs on a regular basis •

Finance

  • Ensuring financial accountability
  • Ensuring ongoing budget development, approval, and review
  • Ensuring adequate funding for solvent yearly budget •

Operations

  • Writing bylaws for how our meetings are run
  • Ensuring bylaws are carried out

Attendance and Other General Qualifications and Understandings

  • It is expected and required that Board Members attend board meetings and actively
  • Participate in the Association’s events, including serving on Board committees and staffing events
  • Have a willingness to make time, effort and financial commitment necessary to give the proper attention to WMA responsibilities
  • Possess the ability to inspire others and to command the respect of associates in responding to worthwhile initiatives sponsored by WMA, and to motivate others
  • Possess the ability to work harmoniously with the Board Members in accordance with policies established by the Board of Directors.
  • Possess a demonstrated ability for leadership in teamwork.
  • To be prepared to make decisions based on what is good and right for all WMA members
  • To speak as one voice, meaning the place for discussion and opinions is when the topic is being discussed at the table, not after a vote has already been taken on it
